THIS AGREEMENT is made and entered into as of the 20th day of April, 2010, by and between the TRUST FOR PROFESSIONAL MANAGERS, a Delaware statutory trust (the “Trust”) on behalf of its series, the Bright Rock Mid Cap Growth Fund and the Bright Rock Quality Large Cap Fund, and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”).
