THIS INVESTMENT ADVISORY AGREEMENT is made as of the 15th day of June, 2010, by and between Trust for Professional Managers (hereinafter called the “Trust”), on behalf of the series of the Trust listed on Schedule A hereto (each a “Fund,” collectively the “Funds” or “PMC Funds”), and Envestnet Asset Management, Inc. (hereinafter called the “Adviser”).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 15th day of June, 2010, by and between Trust for Professional Managers, (the “Trust”), on behalf of the series of the Trust listed on Schedule A hereto (each a “Fund,” collectively the “PMC Funds” or “Funds”), and Envestnet Asset Management, Inc., the investment adviser to the Funds (the “Adviser”).
