THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is made as of September 16, 2010, by and between EVERCORE WEALTH MANAGEMENT, LLC, a Delaware limited liability company (hereinafter referred to as the “Adviser”), and THE WALL STREET FUND, INC., a Maryland corporation (hereinafter referred to as the “Fund”).

THIS AMENDMENT dated as of this 18th day of May, 2010, to the Custody Agreement dated as of July 20, 2001, as amended (the "Agreement"), is entered into by and between THE WALL STREET FUND, INC., a Maryland corporation (the “Company”) and U.S. BANK, N.A., a national banking association (the "Custodian").
