EXPENSE LIMITATION AGREEMENT (“Agreement”), effective as of April 30, 2012 by and between the Evermore Funds Trust, a Massachusetts business trust (the “Trust”), on behalf of the Evermore Global Value Fund (the “Fund”) and Evermore Global Advisors, LLC, a corporation organized under the laws of the State of Delaware (the “Adviser”).
