THIS OPERATING EXPENSES LIMITATION AGREEMENT (the "Agreement") is effective as of March 20, 2014, by and between USFS Funds Trust, a Delaware statutory trust (the "Trust"), on behalf of the USFS Funds Limited Duration Government Fund and the USFS Funds Tactical Asset Allocation Fund (each, a "Fund"), each a series of the Trust, and Pennant Management, Inc. (the "Adviser").
