THIS THIRD AMENDMENT dated as of this 18th day of December, 2014, to the Custody Agreement dated as of May 17, 2011, as amended December 31, 2011 and February 14, 2013 (the “Agreement”) is entered into by and between MAIRS AND POWER FUNDS TRUST, a Delaware statutory trust (the “Trust”), and U.S. BANK, N.A. a national banking association (the “Custodian”).

THIS FIFTH AMENDMENT effective as of the 1st day of December, 2014, to the Transfer Agent Servicing Agreement, dated as of May 17, 2011, as amended December 31, 2011, May 2, 2012, November 19, 2012 and May 1, 2013 (the “Agreement”) is entered into by and between MAIRS AND POWER FUNDS TRUST, a Delaware statutory trust (the “Trust”), and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company ("USBFS").
