THIS AGREEMENT is made and entered into as of this 27th day of April, 2015, by and between CG FUNDS TRUST, a Delaware statutory business trust (the "Trust") and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the "Distributor"). WALL STREET MANAGEMENT CORPORATION, a Massachusetts corporation and the investment advisor to the Trust (the "Advisor"), is a party hereto with respect to Section 5 only.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is made as of April 27, 2015, by and between WALL STREET MANAGEMENT CORPORATION, a Massachusetts corporation (hereinafter referred to as the “Adviser”), and CG FUNDS TRUST, a Delaware statutory trust (hereinafter referred to as the “Trust”), on behalf of the series of the Trust as indicated on Schedule A attached hereto, as may be amended from time to time (each, a “Fund”).
