THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is made as of the 29th day of December 2017, by and between Managed Portfolio Series, a Delaware statutory trust (the “Trust”), on behalf of the series of the Trust listed on Appendix A, which may be amended from time to time (each a “Fund” and together the “Funds”), and Advantus Capital Management, Inc., a Minnesota corporation (the “Adviser”).

THIS THIRD AMENDMENT dated as of the 1st day of September, 2017, to the Investment Advisory Agreement, dated as of September 6, 2012, as amended November 19, 2014 and September 28, 2015 (the “Agreement”), is entered into by and between Managed Portfolio Series, a Delaware statutory trust (“Trust”) and Advantus Capital Management, Inc., a Minnesota corporation (the “Adviser”).
