This INVESTMENT SUB-ADVISORY AGREEMENT (the “Agreement”) is made as of this 4th day of December, 2018 by and between Exchange Traded Concepts, LLC, an Oklahoma limited liability company with its principal place of business at 10900 Hefner Pointe Drive, Suite 207, Oklahoma City, Oklahoma 73120 (the “Adviser”), ETF SERIES SOLUTIONS (the “Trust”), a Delaware statutory trust with its principal place of business located at 615 East Michigan Street, Milwaukee, Wisconsin 53202, and Quadratic Capital Management LLC, a Delaware limited liability company with its principal place of business located at 39 Lewis Street, 4th Floor, Greenwich, Connecticut 06830 (the “Sub-Adviser”).

THIS DISTRIBUTION AGREEMENT (the “Agreement”) is made between ETF Series Solutions (the “Trust”), a Delaware statutory trust, and Quasar Distributors, LLC (the “Distributor”), a Delaware limited liability company. Exchange Traded Concepts, LLC, an Oklahoma limited liability company and the investment adviser to the series of the Trust listed in Schedule A hereto (each, a “Fund”, and collectively, the “Funds”), is a party hereto with respect to Article 5.

THIS FEE WAIVER AGREEMENT (the "Agreement") is entered into by and between ETF Series Solutions, a Delaware statutory trust (the "Trust"), on behalf of the Quadratic Interest Rate Volatility and Inflation Hedge ETF (the "Fund"), a series of the Trust; Exchange Traded Concepts, LLC (the "Adviser"), the Fund's investment adviser; and Quadratic Capital Management LLC (the "Sub-Adviser"), the Fund's sub-adviser.
