Miller/Howard High Income Equity Fund, a Delaware statutory trust (the “Fund”), Miller/Howard Investments, Inc. a Delaware corporation (the “Adviser”) and JonesTrading Institutional Services LLC (“Jones”) previously entered into a Capital on Demand™ Sales Agreement dated October 18, 2017 (the “Prior Agreement”). The parties hereby terminate the Prior Agreement and confirm their agreement in the form of this Sales Agreement (this “Agreement”) as follows:
