THIS AMENDMENT dated as of the 7th day of August, 2020, to the Distribution Agreement, dated as of March 31st, 2020, (the “Agreement”), is entered into by and between MANAGED PORTFOLIO SERIES, a Delaware statutory trust (the “Trust”) on behalf of its series, QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”) and Tortoise Capital Advisors, L.L.C, a Delaware limited liability company, (the “Adviser”).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is made as of the 25th day of March, 2021, by and between Managed Portfolio Series, a Delaware statutory trust (the “Trust”), on behalf of the series of the Trust listed on Appendix A, which may be amended from time to time (each a “Fund” and together the “Funds”), and Tortoise Capital Advisors, L.L.C., a Delaware Limited Liability Company (the “Adviser”).

Effective as of the Closing Date, the Fund Company, on behalf of each series thereof (each a ''Fund" and collectively, the "Funds''), the Adviser and the Distributor hereby enter into this Agreement on terms identical to those of the Distribution Agreement between the parties effective as of January 31, 2018, as amended (the "Existing Agreement"), which are incorporated herein by reference, except as noted below. Capitalized terms used herein without definition have the meanings given to them in the Existing Agreement.
