THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the __ day of October, 2022, by and between Professionally Managed Portfolios, a Massachusetts business trust (the “Trust”), on behalf of the series listed on Appendix A, which may be amended from time to time (the “Funds”), a series of the Trust, and the Advisor of the Funds, Osterweis Capital Management, LLC/Inc. (the “Advisor”).

This first amendment (“Amendment”) to the Distribution Agreement (the “Agreement”) dated as of September 30th, 2021 by and among Professionally Managed Portfolios (“Fund Company”), Osterweis Capital Management, Inc. (“Adviser”) and Quasar Distributors, LLC (“Distributor”) is entered into as of [_____, 2022] (the “Effective Date”). Adviser is a party to the Agreement solely for purposes of Section 5 of the Agreement.
