Each of the undersigned hereby agrees to file jointly the statement on Amendment No. 1 to Schedule 13D to which this Agreement is attached, and any amendments to the Schedule 13D (the "Schedule 13D") filed by Shamrock Holdings of California, Inc. on August 4, 2000 with respect to Ordinary Shares of Pacific Dunlop Limited which may be deemed necessary, pursuant to Regulation 13D-G under the Securities Exchange Act of 1934.
