Hawaiian Electric Company, Inc., a Hawaii corporation (the "Company", which term includes any successor corporation under the Junior Indenture hereinafter referred to), for value received, hereby promises to pay to The Bank of New York, as Property Trustee (the "Property Trustee") for, and for the benefit of, HECO Capital Trust I (the "Trust") or registered assigns, the principal sum of Thirty-One Million Five Hundred Forty-Six Thousand Four Hundred Dollars ($31,546,400) on March 27, 2027, or on such other date which may be established by the Company in accordance with the terms of said Junior Indenture but which may not, in any event, be a date earlier than March 27, 2002 or a date later than March 27, 2046, and to pay interest on said principal sum from March 27, 1997 or from the most recent Interest Payment Date (as defined below) to which interest has been paid or duly provided for, quarterly in arrears on March 31, June 30, September 30 and December 31, commencing June 30, 1997 (e
