This letter (the "LETTER AGREEMENT") memorializes our understanding with respect to the implementation of the terms of the employment agreement (the "EMPLOYMENT AGREEMENT") dated March 5, 2003 between you and Journal Register Company (the "COMPANY") to your upcoming separation of employment with the Company on June 30, 2006 (the "TERMINATION DATE"), and takes into account the requirements of the recently enacted Section 409A ("SECTION 409A") of the Internal Revenue Code (the "CODE").
