This agreement (this “Agreement”) sets forth the terms and conditions upon which Park West Investors Master Fund, Limited (“PWIMF”), a Cayman Islands exempted company and Park West Partners International, Limited, a Cayman Islands exempted company (“PWPI” and, collectively with PWIMF, the “Selling Stockholders”), have engaged Raymond James & Associates, Inc. (the “Sales Agent”) to serve as the Selling Stockholders’ exclusive agent with respect to the placement of up to 3,000,000 shares (the “Shares”) of common stock, $0.001 par value per share (the “Common Stock”), of PLx Pharma Inc.
