THIS SUB-ADVISORY AGREEMENT (the “Agreement”) made this ____ day of July, 2005, by and between New River Advisers LLC, a limited liability company organized and existing under the laws of the Commonwealth of Virginia (the “Manager”), on behalf of the New River Funds (the “Trust”), and Michael W. Cook Asset Management, Inc., d.b.a. Cook Mayer Taylor, a corporation organized and existing under the laws of the State of Tennessee (the “Sub-Adviser”).
