THIS AMENDED AND RESTATED SUB-ADVISORY AGREEMENT (the “Agreement”) made this 22nd day of December, 2005, by and between New River Advisers LLC, a limited liability company organized and existing under the laws of the Commonwealth of Virginia (the “Manager”), and Michael W. Cook Asset Management, Inc., d.b.a. Cook Mayer Taylor, a corporation organized and existing under the laws of the State of Tennessee (the “Sub-Adviser”).
