THIS UNDERWRITING AGREEMENT made the 7th day of May 2007, as amended and reinstated this 15th day of December 2008, by and between NORTHERN LIGHTS VARIABLE TRUST, a Delaware statutory trust, having its principal office and place of business at 450 Wireless Blvd., Hauppauge, NY 11788 (the “Trust”), and NORTHERN LIGHTS DISTRIBUTORS, LLC, a Nebraska limited liability company having its principal office and place of business at 4020 South 147th Street, Omaha, Nebraska 68137 (“NLD”).

THIS AGREEMENT is made as of March 12, 2012, among Northern Lights Variable Trust, an open-end management investment company organized as a Delaware business trust (the "Trust"), Northern Lights Distributors, LLC, a Nebraska limited liability company (the “Underwriter”), ValMark Advisers, Inc., an Ohio corporation (the “Adviser”) and Minnesota Life Insurance Company, a life insurance company organized under the laws of the State of Minnesota (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A, as the parties hereto may amend it from time to time (the "Accounts") (individually, a "Party", and collectively, the "Parties").
