This AGREEMENT is dated September 17, 2013, and effective on or about November 1, 2013, among DUNHAM & ASSOCIATES INVESTMENT COUNSEL, INC., a California corporation (the “Adviser”), DUNHAM FUNDS, a Delaware statutory trust (the “Trust”) and NEWFLEET ASSET MANAGEMENT, LLC, a State of Delaware limited liability company (the “Sub-Adviser”) (each a “Party,” and together, the “Parties”).

THIS FIFTH AMENDMENT dated as of this 30th day of August, 2013, to the Custody Agreement dated as of March 30, 2010, as amended November 28, 2011, June 30, 2011, August 31, 2012 and January 24, 2013 (the “Agreement”) is entered into by and between DUNHAM FUNDS, a Delaware business trust (the “Trust”), and U.S. BANK, N.A. a national banking association (the "Custodian").
