This Amended and Restated Management Agreement ("Agreement”) is made this 30th day of September, 2013 by and between AmericaFirst Quantitative Funds, a statutory trust organized and existing under the laws of the state of Delaware (the "Trust”), and AmericaFirst Capital Management, LLC (the ''Manager”), a limited liability company organized and existing under the laws of the state of California.

THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 30th day of September, 2013, by and between AMERICAFIRST QUANTITATIVE FUNDS, a Delaware statutory trust (the “Trust”), on behalf of the AmericaFirst Defensive Growth Fund, AmericaFirst Income Trends Fund, AmericaFirst Absolute Return Fund, AmericaFirst Quantitative Strategies Fund and AmericaFirst Seasonal Trends Fund (each a “Fund” and together the “Funds”), each a series of the Trust, and AmericaFirst Capital Management, LLC (the “Advisor”), the advisor of the Funds.
