AGREEMENT, made as of November 12, 2013 between Northern Lights Fund Trust, a Delaware statutory trust (the "Trust"), and each Probabilities Fund Management, LLC, a California limited liability company (a "Co-Adviser" or “Probabilities”) located at 1665 Union Street, Suite A, San Diego, CA 92101; and Princeton Fund Advisors, LLC, a Delaware limited liability company (a “Co-Adviser” or “Princeton”) located at 1125 17th Street, Suite 1400, Denver, CO 80202.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 12TH day of November, 2013, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Probabilities Fund (the “Fund”) a series of the Trust, and the co-advisors of the Fund, Probabilities Fund Management, LLC and Princeton Fund Advisors, LLC (the “Co-Advisors”).
