This AGREEMENT is made as of September 1, 2013 (the “Effective Date”), by and among Chilton Investment Company, LLC, a Delaware limited liability company located at 1290 East Main Street, 1st Floor, Stamford, CT 06092 (the “Sub-Adviser”), and Altegris Advisors, L.L.C., a Delaware limited liability company located at 1200 Prospect Street, Suite 550, La Jolla, CA 92037 (the “Adviser”).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 18TH day of August, 2011, as revised November 14, 2012 and August 12, 2014, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Eagle MLP Strategy Fund (the “Fund”) a series of the Trust, and the co-advisors of the Fund, Princeton Fund Advisors, LLC and Eagle Global Advisors, LLC (the “Co-Advisors”).
