This Compliance Consulting Agreement (the "Agreement"), amends and supersedes any prior agreement between the parties herein and is effective from July 1, 2014, following execution below, between Garfield Holdings, LLC, a limited liability company located at 1501 16th Street, #410, Sacramento, CA 95814 ("GH") and AmericaFirst Quantitative Funds, a registered investment company organized as a Delaware statutory trust, located at 17605 Wright Street, Suite 2, Omaha, NE 68130 (the "Trust"), on behalf of each portfolio series listed on the attached Appendix A, as may be amended from time to time (each a "Fund" and collectively "Funds"). This document may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
