Subject to the terms and conditions hereof, the Agent hereby agrees to act as, and the Corporation hereby appoints the Agent as, the sole and exclusive agent of the Corporation to offer the Units for sale on a private placement basis in the Selling Jurisdictions and to use its best efforts to secure subscriptions therefor, provided that the Agent shall not be under any obligation to purchase any of the Units. The Agent shall be entitled, in its sole discretion, to engage sub-agents and offer them as compensation any part of the sales commission described below. The Agent shall, however, be under no obligation to engage any sub-agent.
