DEVELOPMENT AGREEMENT AGREEMENT made as of November __, 1998 by and between JACKSON BOND, L.P., a Mississippi limited partnership (the "Partnership") and PARK RIDGE, LLC, a Mississippi limited liability company (the "Developer") in its capacity as the Developer of the Apartment Complex and not as a General Partner of the Partnership. Recitals 1. The Partnership was formed to acquire, construct, develop, improve, maintain, own, operate, lease, dispose of and otherwise deal with an apartment project located in Jackson, Tennessee, known as the Park Ridge Apartments (the "Apartment Complex"). 2.
