This Fifth Amended and Restated Credit Agreement (the “Agreement”) is entered into as of April 26, 2021 among Invesco Finance PLC, a public limited company organized under the laws of England and Wales (the “Borrower”), Invesco Ltd., an exempted company organized under the laws of Bermuda (the “Parent”), the banks, financial institutions and other institutional lenders (the “Initial Lenders”) listed on the signature pages hereof, and Bank of America, N.A.
