Reference is made to the Shareholder Service Agreement dated as of August 21, 1995 (the "Shareholder Service Agreement") between America's Utility Fund, Inc., a Maryland corporation (the "Fund"), and the undersigned Mentor Investment Group, Inc., a Virginia corporation, pursuant to which the undersigned has agreed to provide, either through itself or through financial institutions as it may from time to time determine, certain administrative support services to the Fund and its shareholders. Pursuant to a Sub-Transfer Agency Agreement dated August 21, 1995 (the "Sub-Transfer Agreement") between you and State Street Bank and Trust Company, you are to provide certain transfer agent and related services to the Fund.
