This Amended and Restated Royalty Grant (this "Grant") is made and entered into as of January 18, 2005, by Minera Los Tapados S.A., a Peruvian Sociedad Anonima ("Grantor"), Solitario Resources Corporation, a Colorado Corporation ("Grantee"). Grantor and Grantee sometimes are referred to in this Grant collectively as the "Parties" and individually as a "Party."

This Stock Purchase Agreement (this "Agreement") is dated as of January 18, 2005 by and between Solitario Resources Corporation, a Colorado corporation (the "Company"), and Newmont Mining Corporation of Canada Limited, a Canada corporation (the "Purchaser"), with its head office at 20 Eglinton Avenue West, Suite 1900, Toronto, Ontario M4R 1K8.

This Alliance Agreement (this "Agreement") is dated and effective this 18th day of January, 2005 (the "Effective Date") by and between Newmont Overseas Exploration Limited, a Delaware corporation ("Newmont") and Solitario Resources Corporation, a Colorado corporation ("Solitario"). Newmont and Solitario sometimes are referred to in this Agreement collectively as the "Parties," and each individually as a "Party."
