This Asset Purchase Agreement (this “Agreement”) is entered into on June 6, 2012 by and among Ultra Electronics Defense, Inc., a Delaware corporation (the “Purchaser”), RFI Corporation, a Delaware corporation (the “Seller”), and DGT Holdings Corp., a New York corporation (“DGT”).
