This Amended and Restated Employment Agreement (“Agreement”), effective as of February 22, 2017 (the “Effective Date”), is entered into by and between Martin S. Hughes (the “Executive”) and Redwood Trust, Inc., a Maryland corporation (the “Company”), and amends and restates in its entirety that certain Amended and Restated Employment Agreement by and between the Executive and the Company dated as of March 31, 2009 (as subsequently amended, the “Prior Agreement”).
