This amended and restated agreement (“Agreement”) is entered into as of March 31, 2000 (“Effective Date”) by and between MAPICS Inc., a Georgia Corporation (“MAPICS”) and PARAGON SYSTEMS INTERNATIONAL, INC., a Georgia corporation (“PARAGON”).

This Addendum, effective as of April 1, 2001, is hereby made a part of and incorporated into the Amended and Restated Agreement by and between MAPICS, Inc. (“MAPICS”) and PARAGON SYSTEMS INTERNATIONAL, Inc. (“Paragon”), entered into on March 31, 2000 (the “Agreement”).
