WHEREAS, the parties have previously entered into a written agreement dated December 9, 1997, (hereinafter, the “Original Agreement”) for the BUREAU to promote and encourage visitors and tourists to come to ANAHEIM, and to promote the holding of conventions, conferences and trade shows in ANAHEIM;

This Addendum, effective as of April 1, 2001, is hereby made a part of and incorporated into the Amended and Restated Agreement by and between MAPICS, Inc. (“MAPICS”) and PARAGON SYSTEMS INTERNATIONAL, Inc. (“Paragon”), entered into on March 31, 2000 (the “Agreement”).
