This Sub-Transfer Agency Services Agreement (the “Agreement”) is made as of August 1, 2005 by and between PFPC Inc., a Massachusetts corporation (“PFPC”), and Eaton Vance Management, a Massachusetts business trust (the “Eaton Vance”).
