INVESTMENT MANAGEMENT AGREEMENT made this 27th day of June, 2006, by and between FIRST TRUST TAX-ADVANTAGED PREFERRED INCOME FUND, a Massachusetts business trust (the "Fund"), and FIRST TRUST ADVISORS L.P., an Illinois limited partnership (the "Adviser").
