This ASSET PURCHASE AGREEMENT (the “Agreement”), dated as of May 3, 2006, is between DealerTrack Digital Services, Inc., a Delaware corporation (“Buyer”), Global Fax, L.L.C., a Michigan limited liability company (“Michigan Seller”), Global Data Solutions — Ohio, LLC, an Ohio limited liability company (“Ohio Seller”) (Michigan Seller and Ohio Seller, each a “Seller Entity” and collectively, the “Seller Entities”), John W.
