The undersigned (herein called the “Members,” which term shall include any Persons (as defined below) hereafter admitted to the Company (as defined below) pursuant to Article III of this Agreement (as defined below) and shall exclude any Persons who cease to be Members pursuant to Article V or Article VI of this Agreement) hereby agree to form and hereby form, as of the date and year first above written, a limited liability company (herein called the “Company”), pursuant to the provisions of the Limited Liability Company Act of the State of Delaware (6 Del. Code § 18-101, et seq.) (the “Act”), which shall be governed by, and operated pursuant to, the terms and provisions of this Amended and Restated Limited Liability Company Agreement (herein called this “Agreement”).
