This Indemnity Agreement (this “Agreement”), dated as of June ___, 2009, is made by and between SMITH & WESSON HOLDING CORPORATION, a Nevada corporation (the “Company”), and the undersigned who is either a director, an officer, an employee, an agent, or a consultant of the Company (the “Indemnitee”) with this Agreement to be deemed effective as of the date that the Indemnitee first became director, officer, a key employee, an agent, or a consultant of the Company.
