This Severance and Change in Control Agreement (the “Agreement”) is made and entered into effective as of July 1, 2009, (the “Effective Date”), by and between Anadys Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and Peter T. Slover (the “Executive”). The Company and the Executive are hereinafter collectively referred to as the “Parties”, and individually referred to as a “Party”. This Agreement shall replace and supersede that certain Change in Control Agreement between Executive (then a senior employee) and the Company entered into as of March 4, 2008 (the “Original Agreement”).

This SUBLEASE AGREEMENT (“Sublease”) is made as of the 18th day of June, 2009 (“Effective Date”), by and between PHENOMIX CORPORATION, a Delaware corporation (the “Sublandlord”) and ANADYS PHARMACEUTICALS, INC., a Delaware corporation (the “Subtenant”) with regard to the following facts.

As we discussed, in connection with the Anadys Pharmaceuticals, Inc. (the “Company”) restructuring and reduction in force, your employment with the Company will terminate on June 30th, 2009 (“Separation Date”). This letter will set forth our proposed agreement concerning your separation from the Company, severance benefits from the Company and your release of the Company from any obligations or claims after the Separation Date.
