This Executive Employment Agreement (“Agreement”) is entered into this May ___, 2009 by and between Dana Holding Corporation, a Delaware corporation, with its principal executive office at 4500 Dorr Street, Toledo, Ohio (the “Company”), and James E. Sweetnam, an individual, residing in Ohio (“Executive”), effective July 1, 2009 (the “Effective Date”).
