We are pleased that you have accepted the position of Vice Chairman of the Board of Directors and Executive Vice President of Walter Investment Management Corp. (the “Company”). This letter (the “Agreement”) is intended to set forth the terms and conditions of your employment with the Company. Your employment shall begin on January 22, 2010 (the “Effective Date”). The term of this Agreement (the “Term”) shall continue until the close of business on January 21, 2011. Thereafter, the Term shall automatically extend annually for one year terms unless and until terminated as provided herein. All capitalized terms that are not defined herein are defined in Appendix 1 hereto.
