EMPLOYMENT AGREEMENT (this “Agreement”) dated as of September 22, 2010, between FOSTER WHEELER INC., a Delaware corporation having a principal place of business in Clinton, New Jersey (the “Company”), W. TROY RODER (the “Executive”), FOSTER WHEELER USA CORPORATION, a Delaware corporation having places of business in Houston, Texas and Clinton, NJ (“FWUSA”), and FOSTER WHEELER INTERNATIONAL CORPORATION, a Delaware corporation having a principal place of business in Clinton, New Jersey (the “Guarantor”).

This SECOND AMENDMENT (this “Amendment”) to the Employment Agreement between FOSTER WHEELER NORTH AMERICA CORP., a Delaware corporation (the “Company”), and GARY T. NEDELKA (the “Executive”), dated as of January 6, 2009 (the “Employment Agreement”), is made and entered into as of August 30, 2010.
