This SECOND AMENDED AND RESTATED CREDIT AGREEMENT is entered into as of February 14, 2011, among HOLLY ENERGY PARTNERS — OPERATING, L.P., a Delaware limited partnership (the “Borrower”), WELLS FARGO BANK, N.A., individually and as administrative agent (in such capacity, the “Administrative Agent”), UNION BANK, N.A., as administrative agent under the Prior Credit Agreement (hereinafter defined) (in such capacity, the “Predecessor Administrative Agent”), UNION BANK, N.A., as syndication agent, BBVA COMPASS BANK and U.S. BANK N.A, as co-documentation agents, and each of the Lenders (as defined below).
