EXCHANGE AGREEMENT (the “Agreement”), dated as of March 3, 2011, by and among Smith & Wesson Holding Corporation, a Nevada corporation with headquarters located at 2100 Roosevelt Avenue, Springfield, Massachusetts 01104 (the “Company”), and Lazard Asset Management LLC (including any other persons or entities exchanging Convertible Notes hereunder for whom the undersigned Holder holds contractual and investment authority, the “Holder”).
