Pursuant to this Framework Agreement (the “Agreement”), effective as of November 8th, 2007 Hunchun BaoLi Communications Co. Ltd., a Chinese enterprise (“BaoLi Communications”), and Superconductor Technologies Inc., a Delaware corporation (“STI”), agree as follows:

This Second Amendment, dated as of January 7, 2008 (the “Amendment”) between Superconductor Technologies Inc. a Delaware corporation (“STI”). and Hunchun BaoLi Communication Co. Ltd, (“BAOLI”) amends that certain Agreement, dated as of August 17, 2007 and subsequently amended as of November 1st, 2007 (the “Agreement”), between STI and BAOLI.
