This Agreement between Quanex Building Products Corporation, a Delaware corporation (the “Company”), and (the “Executive”) is effective as of the Effective Date (as defined herein), and is subject to and contingent upon the closing of the Contemplated Transactions (as defined in that certain Waiver and Release Agreement by and between the Company and Executive dated November 19, 2007). Certain capitalized terms used herein are defined in Section 21.
