This Employment Agreement (this “Agreement”) is made and entered into this 1st day of December 2003, by and between Versar, Inc., a Delaware corporation (“Company”), its successors and assigns, and Theodore M. Prociv (“you” or “your”). This Agreement promises you an employment relationship and certain severance benefits during the Term of this Agreement.
