This Third Amendment to Employment Agreement (this “Amendment”), dated as of the 18th day of November, 2008, is entered into by and among CPNO Services, L.P., a Texas limited partnership (“Employer”), R. Bruce Northcutt (“Employee”), and the entities set forth on Exhibit A hereto (the “Copano Controlling Entities”). Capitalized terms not otherwise defined in this Amendment shall have the meaning set forth in the Employment Agreement (as defined below).
