AGREEMENT made this 1st day of July, 2007, by and between, Charles Schwab Investment Management, Inc. (“CSIM”), and Tasho Investment, LLC, a recently formed entity that will acquire substantially all of the assets of TAMRO Capital Partners LLC (“Sub-Adviser”) and will assume the TAMRO name as soon as practicable.
