This letter will evidence the agreement of Fortune Brands, Inc. (the “Company”) to make the payments and provide the benefits described below in the event of a termination of your employment following a change in control of the Company. The Company considers the establishment and maintenance of a sound and vital management to be essential to protecting and enhancing its best interests and those of its stockholders. In this connection, the Company recognizes that, as is the case with many publicly held corporations, the possibility of a change in control may exist and that, in the event action is taken to bring about a change in control, uncertainty and questions may arise among management that could result in the distraction or departure of management personnel to the detriment of the Company and its stockholders.
